Ping An Wins Major Corporate Governance Award Four Years in a Row

(Hong Kong, Shanghai - 22 June 2010) Ping An Insurance (Group) Company of China Ltd (hereafter "Ping An" or "the Group", HKEX: 02318; SSE: 601318) is pleased to announce that it has been named the winner of Corporate Governance Asia magazine's  "Recognition Awards 2010" for the fourth consecutive year.

 

According to the award committee, Ping An has demonstrated consistent improvement in its corporate governance standards over the years. By committing to the highest levels of management practices across its operations, Ping An has been able to create maximum value for its shareholders. Led by a Board of Directors that is responsible, professional and accountable, and a highly regarded senior management team, the Group has been able to foster a quality governance culture throughout its operations effectively. According to the judging criteria for the award, candidates for the coveted honour must have, among other stringent requirements, a publicly-acclaimed track record in corporate governance, and have implemented significant and specific governance reforms in the past 12 months. They must also be committed to the protection of shareholder's, and the best practices in investor relations and social responsibilities.

Ping An has recently enhanced its ownership structure to include foreign investors, state-owned and non-state-owned enterprises, as well as company employees as shareholders. The enhancement has facilitated the establishment of a corporate governance framework that provides checks and balances through its constituents: the annual shareholder meeting, an accountable Board of Directors and an experienced management team. By observing its management principle of "Group Holdings, Separate Operations, Separate Regulations, Group Listing", Ping An has been able to maintain a governance framework that excels in transparency, disclosure and consistency. Ping An has worked hard to engage investors and other stakeholders in its investor outreach activities to ensure they are well informed of its business strategy, company management, operating performance and financial results through a range of communication tools and channels.
